By accessing or using RevSwift (the "Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not use the Service.
RevSwift ("we," "us," or "our") and provides an AI-driven operating system for SME revenue growth using the proprietary RevSwift Model.
2. Nature of Advisory Service
Algorithmic Recommendations, Not Financial Advice: RevSwift provides algorithmic recommendations based on the Channel Viability Score (CVS) and Action Priority Score (APS) models. These recommendations include specific actions such as "Double down here," "Pause this," or "Do not execute."
No Guarantee of Results: While the Service is designed to improve marketing ROI and reduce budget waste, RevSwift does not guarantee specific revenue figures, business growth, or marketing outcomes. Results depend on multiple factors including market conditions, execution quality, and business fundamentals.
User Responsibility: You assume full responsibility for the final decision to execute marketing spend based on the platform's suggestions. RevSwift is a decision support tool, not a substitute for business judgment.
Not Financial or Investment Advice: RevSwift does not provide financial, investment, legal, or tax advice. Consult qualified professionals for such matters.
3. Intellectual Property & Proprietary Rights
Ownership: The RevSwift Model, scoring algorithms (Execution Readiness Score, Channel Viability Score, Action Priority Score), and all related methodologies are proprietary intellectual property owned by Mrs. Efe Joyce Osunbor.
Trade Secrets: The scoring logic, decision-making algorithms, and strategic frameworks constitute trade secrets and confidential business information.
Prohibited Activities: You may not:
- Reverse-engineer, decompile, or disassemble any part of the Service
- Use the "Reality Audit" or "Strategy Builder" outputs to build a competing service
- Extract, scrape, or systematically collect data from the platform
- Copy, reproduce, or redistribute the proprietary methodologies
- Attempt to discover the underlying algorithms or scoring models
License Grant: We grant you a limited, non-exclusive, non-transferable license to use the Service for your internal business purposes only, subject to these Terms.
4. User Data Accuracy
Garbage In, Garbage Out: RevSwift's recommendations are only as accurate as the data you provide. The Service relies on your "Situation Analysis" (Reality Audit) including:
- Revenue goals and financial capacity
- Marketing budget limits and historical spend
- Current technology stack and integrations
- Sales process data and conversion rates
- Resource constraints and team capacity
Your Responsibility: You are solely responsible for the accuracy, completeness, and truthfulness of all data entered into the Service.
Limitation of Liability: RevSwift is not liable for "Low Viability" recommendations, "High Risk" warnings, or suboptimal strategies that result from false, incomplete, or inaccurate data provided during onboarding or ongoing use.
If your Execution Readiness Score (ERS) is low due to inaccurate data entry, you cannot hold RevSwift responsible for restricted access to execution features.
5. Third-Party Orchestration & API Liability
Aggregator Role: RevSwift acts as a "System Orchestrator," connecting to and controlling external platforms including:
- Google Ads and Google Analytics
- Meta (Facebook/Instagram) Ads Manager
- CRM platforms (HubSpot, Salesforce, Pipedrive)
- Email marketing tools (Mailchimp, ActiveCampaign)
- Other marketing and analytics platforms
No Liability for Third-Party Services: RevSwift is not responsible for:
- Uptime, availability, or performance of third-party platforms
- Changes to third-party APIs that break integrations
- Data policies or terms of service of connected platforms
- Billing, charges, or account issues with external services
- Data loss or corruption on third-party platforms
Account Ownership: You retain full ownership of your connected accounts (e.g., Google Ads, HubSpot). By connecting these accounts, you grant RevSwift a license to:
- Read performance data and metrics
- Write data to execute approved actions (e.g., pausing campaigns)
- Update tracking parameters for attribution
- Access historical data for analysis
You may revoke this access at any time by disconnecting the integration, though this will limit the Service's functionality.
6. Data Migration & Upload Risks
Migration Services: RevSwift allows you to migrate data from previous tools via CSV uploads, screenshots, or bulk imports.
User Risk: While we implement security measures, you bear the risk of:
- Data loss or corruption during migration
- Incomplete or inaccurate data transfer
- Formatting issues that affect data integrity
Not a Backup Service: RevSwift is not a backup or archival service for your historical legacy data. You are responsible for maintaining your own backups.
Data Validation: You must verify the accuracy of migrated data before relying on it for strategic decisions.
7. Viral Waitlist & Rewards
Beta Phase Rewards: During our private beta, we offer rewards for referring other founders, including:
- Priority access at 1 referral
- Free Reality Audit (worth £500) at 3 referrals
- Founding Member status at 5 referrals
Anti-Fraud Policy: RevSwift reserves the right to disqualify users and revoke rewards if we detect:
- Use of bots or automated referral systems
- Fake email addresses or fraudulent accounts
- "Looping" referrals (circular referral chains)
- Self-referrals or duplicate accounts
- Any attempt to artificially inflate waitlist position
Reward Limitations: The "Free Reality Audit" does not constitute a perpetual free license to the full RevSwift Operating System. It is a one-time service with no ongoing access unless you subscribe.
Discretionary Rewards: We reserve the right to modify, suspend, or terminate the referral program at any time without notice.
8. Automated Decision Making & Execution Restrictions
Consent to Profiling: By using the Service, you consent to automated profiling and decision-making based on:
- Execution Readiness Score (ERS)
- Channel Viability Score (CVS)
- Action Priority Score (APS)
- Business maturity assessment
Do-Not-Do Lists: The system generates "Do-Not-Do" lists to prevent budget waste. These recommendations are based on algorithmic analysis of your business data and market conditions.
Feature Restrictions: If your Execution Readiness Score (ERS) falls below the readiness threshold, certain execution features may be locked until foundational gaps are addressed. This is designed to prevent waste and protect your budget.
Your Rights: You may:
- Request human review of automated decisions
- Challenge recommendations and provide additional context
- Override system recommendations (at your own risk)
- Opt out of certain automated features
9. Subscription & Payment Terms
SaaS Model: RevSwift operates on a subscription basis with monthly or annual billing cycles.
Auto-Renewal: Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date.
Cancellation: You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial months.
Price Changes: We reserve the right to modify subscription prices with 30 days' notice. Existing subscribers will be grandfathered at their current rate for the remainder of their billing cycle.
Free Trial Limitations: Free trials or promotional access do not include all features and may have usage limits.
10. Limitation of Liability
Maximum Liability: To the fullest extent permitted by law, RevSwift's total liability for any claims arising from your use of the Service shall not exceed the amount you paid us in the 12 months preceding the claim.
No Liability For:
- Lost profits, revenue, or business opportunities
- Marketing spend based on system recommendations
- Decisions made using the Service's outputs
- Third-party platform failures or API changes
- Data loss due to user error or inaccurate inputs
- Indirect, incidental, or consequential damages
Business Decisions: You acknowledge that all marketing and business decisions remain your responsibility, regardless of system recommendations.
11. Indemnification
You agree to indemnify and hold harmless RevSwift, Mrs. Efe Joyce Osunbor, and our affiliates from any claims, damages, losses, or expenses (including legal fees) arising from:
- Your use or misuse of the Service
- Violation of these Terms
- Infringement of third-party rights
- Inaccurate data provided to the Service
- Marketing decisions made based on system recommendations
12. Service Availability & Modifications
No Uptime Guarantee: While we strive for high availability, we do not guarantee uninterrupted access to the Service.
Maintenance: We may perform scheduled or emergency maintenance that temporarily restricts access.
Modifications: We reserve the right to modify, suspend, or discontinue any feature or the entire Service at any time with reasonable notice.
Beta Features: Features marked as "beta" or "experimental" are provided as-is with no warranties.
13. Termination
By You: You may terminate your account at any time by canceling your subscription.
By Us: We may suspend or terminate your access if you:
- Violate these Terms
- Engage in fraudulent activity
- Fail to pay subscription fees
- Use the Service in a way that harms others or the platform
Effect of Termination: Upon termination, your access to the Service will cease. You may request a data export within 30 days of termination.
14. Governing Law & Dispute Resolution
Governing Law: These Terms are governed by the laws of England and Wales, without regard to conflict of law principles.
Jurisdiction: Any disputes arising from these Terms or your use of the Service shall be resolved exclusively in the courts of England and Wales.
UK Focus: RevSwift is designed for UK SMEs and operates under UK business regulations and standards.
15. Warranties & Disclaimers
AS-IS Service: The Service is provided "as is" and "as available" without warranties of any kind, either express or implied.
No Warranty Of:
- Accuracy, reliability, or completeness of recommendations
- Specific business outcomes or revenue results
- Uninterrupted or error-free operation
- Compatibility with all third-party platforms
16. Changes to Terms
We may update these Terms from time to time. Material changes will be communicated via:
- Email notification to active users
- Prominent notice on the RevSwift dashboard
- Updated "Last Updated" date at the top of this page
Continued use of the Service after changes constitutes acceptance of the updated Terms.
